These Terms and Conditions (“Terms”) govern your access to and use of the website gosbaloans.com (the “Website”) and any loan brokerage or related services (the “Services”) provided by GoSBA, LLC (“GoSBA,” “we,” “us,” or “our”). By accessing the Website, submitting an inquiry, or engaging our Services, you agree to be bound by these Terms. If you do not agree, do not use the Website or Services.
Important: GoSBA, LLC is an independent commercial loan brokerage firm. We are not a bank, credit union, direct lender, or financial institution. We do not underwrite, originate, or fund loans. We facilitate introductions between borrowers and SBA-participating lenders. We are not an agent, representative, or affiliate of the U.S. Small Business Administration (SBA).

1. Acceptance of Terms
By accessing or using the Website or Services, you represent that (a) you are at least 18 years of age, (b) you have the legal authority to enter into a binding agreement on your own behalf or on behalf of the business you represent, and (c) you agree to comply with these Terms and our Privacy Policy, which is incorporated herein by reference.
2. Description of Services
GoSBA provides SBA loan brokerage services, including but not limited to:
- Evaluating your financing needs and recommending appropriate SBA loan products (e.g., SBA 7(a), SBA 504, SBA Express);
- Packaging loan applications and supporting documentation;
- Submitting loan packages to SBA-participating lenders in our network;
- Coordinating communications between you and prospective lenders;
- Advising on deal structure, equity injection, seller notes, and other SBA-compliant financing strategies;
- Preparing complimentary deliverables such as business plans, financial projections, and loan summaries.
All loans are underwritten, approved, and funded by third-party SBA-participating lenders at their sole discretion. GoSBA does not have authority to approve, deny, or set the terms of any loan.
3. Eligibility
The Services are intended for legal residents of the United States who are 18 years of age or older and who are seeking financing for a U.S.-based business that meets SBA program eligibility requirements. We do not provide Services to consumers seeking personal loans, mortgages, or non-business financing. We reserve the right to decline to provide Services to any prospective borrower in our sole discretion.
4. No-Cost Brokerage; Broker Compensation
GoSBA does not charge borrowers any fees for our brokerage Services. Our compensation is paid by the SBA-participating lender that funds your loan, in the form of a lender referral fee. All referral fees are disclosed to you and the SBA on SBA Form 159 as required by SBA regulations.
You acknowledge and agree that (a) the existence of a referral fee does not affect the lender’s underwriting decision or the rate, term, or fees you receive on your loan; and (b) GoSBA may decline to present your file to lenders that do not participate in our referral arrangement.
5. Borrower Responsibilities
You agree that, in connection with the Services, you will:
- Provide accurate, current, and complete information about yourself, your business, and the proposed financing, including financial statements, tax returns, and supporting documents;
- Promptly update such information if it materially changes during the brokerage process;
- Not misrepresent your identity, financial condition, business operations, or the intended use of loan proceeds;
- Comply with all applicable federal, state, and local laws, including SBA program rules and anti-money-laundering requirements;
- Cooperate with reasonable requests from GoSBA and from prospective lenders during underwriting.
Submitting false or misleading information to GoSBA or to an SBA lender may constitute a federal crime under 18 U.S.C. § 1014 and other applicable laws, and may result in immediate termination of the Services.
6. No Guarantee of Approval or Specific Terms
GoSBA does not guarantee that any prospective lender will approve your loan, issue a term sheet, or fund your transaction. We do not guarantee any specific interest rate, fee, loan amount, repayment term, equity injection requirement, or closing timeline. Statements about typical outcomes, average approval rates, or average time-to-funding on the Website are based on historical experience and are not promises or warranties as to your specific transaction.
Any “best rate” or similar guarantee, if offered on the Website, is subject to the specific terms and conditions stated alongside that offer and is limited to written, verifiable competing offers from comparable lenders for the same loan structure.
7. No Legal, Tax, Financial, or Investment Advice
GoSBA is a commercial loan brokerage. We are not a law firm, accounting firm, tax advisor, registered investment adviser, broker-dealer, or fiduciary. Information provided on the Website or during the brokerage process — including content about SBA programs, deal structuring, business valuation, lender rankings, calculators, and educational articles — is for general informational purposes only and does not constitute legal, tax, accounting, financial, or investment advice. You should consult your own qualified professionals before making any financing, acquisition, or business decision.
8. Confidentiality of Borrower Information
We handle the personal and financial information you provide in accordance with our Privacy Policy. By engaging our Services, you authorize GoSBA to share your information with prospective SBA lenders, service providers (such as Quality of Earnings providers, business appraisers, and attorneys), and other parties as reasonably necessary to provide the Services. You also authorize GoSBA to receive, on your behalf, information from those parties relating to your transaction.
9. Third-Party Lenders, Service Providers, and Links
SBA lenders, business brokers, attorneys, CPAs, Quality of Earnings providers, appraisers, and other third parties referenced through the Services are independent of GoSBA. We do not control, employ, or supervise these parties. Any agreement you enter into with a lender or other third party is solely between you and that party. GoSBA is not a party to your loan, your purchase agreement, or any related contract, and is not responsible for any third party’s acts, omissions, products, services, fees, or compliance with law.
The Website may contain links to third-party websites. Such links are provided for convenience only. We do not endorse and are not responsible for the content, accuracy, privacy practices, or terms of any linked site.
10. Intellectual Property
All content on the Website — including text, graphics, logos, icons, images, video, audio, downloadable templates, calculators, lender rankings, methodologies, software, and the selection and arrangement thereof — is the property of GoSBA, LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. The names “GoSBA,” “GoSBA Loans,” and associated logos are trademarks of GoSBA, LLC. “SBA” is a trademark of the U.S. Small Business Administration; its use on the Website is descriptive and does not imply endorsement.
You may view and download content for personal, non-commercial reference in connection with evaluating our Services. Any other use — including reproduction, redistribution, scraping, modification, commercial use, or use in artificial-intelligence training datasets — is prohibited without our prior written consent.
Loan summaries, business plans, financial projections, and other deliverables we prepare for you are licensed for your use in connection with your financing transaction. You may share them with prospective lenders and your own professional advisors. You may not resell or republish these deliverables.
11. Acceptable Use
You agree not to:
- Use the Website or Services for any unlawful, fraudulent, or harmful purpose;
- Submit applications or documents you know to be false, misleading, or not your own;
- Interfere with or disrupt the Website, its servers, or networks, including by introducing viruses, malware, or excessive automated traffic;
- Attempt to gain unauthorized access to any portion of the Website, our systems, or another user’s account or information;
- Scrape, harvest, or otherwise collect information from the Website using automated means without our prior written consent;
- Reverse engineer, decompile, or disassemble any portion of the Website or Services;
- Use the Website or Services in violation of any applicable export-control or sanctions laws.
12. Electronic Communications and E-Signatures
By providing your email address or phone number, you consent to receive communications from GoSBA electronically, including emails, text messages, and calls relating to your inquiry, deal status, and Services. Standard message and data rates may apply. You may opt out of marketing communications at any time using the unsubscribe link in any marketing email or by contacting us; you may not opt out of transactional communications that are necessary to provide the Services you have requested without terminating the engagement.
You agree that electronic signatures and electronically transmitted documents will satisfy any legal requirement that a writing or signature be in tangible form, to the maximum extent permitted by applicable law (including the federal E-SIGN Act).
13. Disclaimers
THE WEBSITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GOSBA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT (A) THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) CONTENT ON THE WEBSITE IS ACCURATE, COMPLETE, OR CURRENT; (C) ANY LENDER WILL APPROVE OR FUND YOUR LOAN; OR (D) THE WEBSITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GOSBA, LLC, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST BUSINESS, LOST DATA, OR LOST OPPORTUNITY — ARISING OUT OF OR RELATING TO THE WEBSITE, THE SERVICES, OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE WEBSITE, THE SERVICES, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT, IF ANY, YOU HAVE PAID TO GOSBA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (WHICH, FOR BORROWERS, IS GENERALLY ZERO BECAUSE OUR SERVICES ARE FREE TO BORROWERS), OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of the above may not apply to you.
15. Indemnification
You agree to defend, indemnify, and hold harmless GoSBA, LLC and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your breach of these Terms; (b) your violation of any law or the rights of a third party; (c) your submission of false, misleading, or unauthorized information to GoSBA or to any lender; or (d) your use of the Website or Services.
16. Termination
Either party may terminate the brokerage engagement at any time, with or without cause, by written notice (email is sufficient). On termination, your rights to use the Services will cease, but any provisions that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive. Termination does not relieve you of obligations accrued prior to termination, including the obligation to deal in good faith with lenders to whom your file has already been submitted.
17. Governing Law; Venue
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles. Subject to Section 18 (Arbitration), the state and federal courts located in Los Angeles County, California will have exclusive jurisdiction over any dispute that is not subject to arbitration, and you consent to personal jurisdiction and venue in those courts.
18. Dispute Resolution; Arbitration; Class Action Waiver
Please read this section carefully. It affects your legal rights, including your right to sue in court and to participate in a class action.
Informal Resolution
Before initiating any formal dispute, you agree to first contact us at [email protected] with a written description of the dispute and the relief you seek. The parties will attempt to resolve the dispute in good faith for at least thirty (30) days before either party may initiate arbitration.
Binding Arbitration
Except for (i) claims for injunctive or other equitable relief to protect intellectual property, and (ii) small-claims-court matters within that court’s jurisdiction, any dispute arising out of or relating to the Website, Services, or these Terms will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect. The arbitration will be conducted in Los Angeles County, California (or, at your election as a U.S. consumer, by video or by submission of documents). Judgment on the award may be entered in any court of competent jurisdiction.
Class Action Waiver
YOU AND GOSBA EACH AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. THE ARBITRATOR HAS NO AUTHORITY TO CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS OR TO PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
30-Day Opt-Out
You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days of first agreeing to these Terms. The notice must include your name, address, and a clear statement that you do not wish to resolve disputes through arbitration. Opting out will not affect any other provision of these Terms.
19. Modifications to These Terms
We may update these Terms from time to time. The “Last Updated” date at the top of this page reflects the most recent revision. For material changes, we will make reasonable efforts to notify you through the Website or by email. Your continued use of the Website or Services after the effective date of any revision constitutes acceptance of the revised Terms.
20. Miscellaneous
- Entire Agreement. These Terms, together with our Privacy Policy and any written engagement letter we sign with you, constitute the entire agreement between you and GoSBA regarding the Website and Services and supersede any prior or contemporaneous agreements on that subject. If an engagement letter conflicts with these Terms, the engagement letter controls.
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified only to the minimum extent necessary to make it enforceable.
- No Waiver. Our failure to enforce any provision of these Terms will not be deemed a waiver of that provision or any other provision.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
- No Third-Party Beneficiaries. Except as expressly stated, these Terms do not create any third-party beneficiary rights.
- Headings. Section headings are for convenience only and do not affect interpretation.
- Force Majeure. Neither party is liable for delays or failures in performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, pandemic, internet or telecommunications outages, or cyberattacks.
